EULA - End User License Agreement

Please read the following Software License Agreement (hereinafter "Agreement") for software products (hereinafter "Software") provided by ClampOn AS (hereinafter "ClampOn"). This Agreement is between you (hereinafter "User") and ClampOn.

1. DEFINITIONS
(a) User means the legal entity or person who purchase or downloads the Software and/or activates the Software.
(b) Software means the ClampOn software products delivered to User and includes any updates, modification, bug fixes, upgrades, enhancements, or other modifications.

2. GRANT OF LICENSE
This license grants the User the following rights until the expiration date:
(a) Trial period of Software for 90 days with a maximum number of 50 runs.
(b) Run a number of Software instances corresponding to number of purchased licenses.

3. DISTRIBUTION
This Software may be distributed, provided that:
(a) Such distribution includes only the original distributive file supplied by ClampOn. User may not alter, delete or add any files in the distributive file or modify the Software in any way.
(b) Such distribution comply with this Agreement.

4. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
(a) Prohibition on reverse engineering, de-compilation, and disassembly. User may not reverse engineer, recompile, and disassembly, modify, translate the Software and make any attempt to discover the source code of the Software.
(b) Support services for Software is limited. Questions and notifications about Software shall be posted by e-mail to swsupport@clampon.com.
(c) User must not remove or alter any copyright notices on any copies of the Software.
(d) Software updates are made available at standard internet server for program download. Updates will not include any releases of the Software which ClampOn determines to be a separate product or for which ClampOn charges its customers extra or separately.
(e) Included run-time engines and drivers provided by National Instruments: User is not allowed to reverse engineer, decompile, disassemble, sub-license, lease, rent, distribute in part, modify, or create derivatives of the run-time engines or driver interface software, (ii) amend, modify, or supplement the driver interface software with any additional code except to use it with additional NI hardware, or (iii) directly or indirectly, export, re-export, download, or ship the software in violation of the laws and regulations of the U.S.A.
(f) The liability of Software is limited exclusively to Software replacement.

5. CONSENT TO COLLECTION OF INFORMATION
ClampOn will collect and hold User data for licensing purposes. ClampOn takes the protection and security of User information very seriously and will treat any and all such information in accordance with ClampOns cookie and privacy policy, which is currently posted at https://www.clampon.com/cookie-and-privacy-policy (Cookie and Privacy Policy). User agree to the use of Users data in accordance with ClampOns Cookie and Privacy Policy.

6. TERMINATION
Without prejudice to any other rights, ClampOn may terminate this Agreement if User fail to comply with the terms and conditions of this Agreement. In such event, User must destroy all copies of the Software in Users possession.

7. DISCLAIMER OF WARRANTY
THE Software AND THE ACCOMPANYING FILES ARE PROVIDED "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. YOU USE THE Software AT YOUR OWN RISK.

8. NO LIABILITY FOR CONSEQUENTIAL DAMAGES
In no event shall ClampOn or its employees, contractors, agents, distributors or suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, loss of data, loss of business opportunity, loss or damages to property, injuries to any person or any pecuniary loss,) arising out of the use of or inability to use the Software, even if ClampOn has been advised on the possibility of such damages.

9. TRIAL
Trial period for evaluation of Software is 90 days with a maximum number of 50 runs. There is no limitation in Software performance during trial period. It is expected by ClampOn that Software is thoroughly tested before purchase to avoid deviations between User expectations and Software performance.

10. JURISDICTION
This Agreement will be governed by the laws of Norway without giving effect to any conflicts of law principles that may require the application of the laws of a different country. Both User and ClampOn agree to the exclusive jurisdiction of the courts of Norway.

ClampOn reserves all rights not expressly granted here.
